Terms of Use

I. CONSENT TO USE OF WEBSITE
This website, together with any Blue Zones Health website, mobile application, online account tool, or other digital service or communication channel that links to these Terms of Use (collectively, the “Site”), is owned and operated by Blue Zones Health and its affiliates (collectively, “BZH”). Please read the following terms of use (“Terms of Use”) carefully and completely before using this website. The Terms of Use set forth important information, including, but not limited to, BZH’s disclaimers of warranty, privacy practices, limitations of liability, and indemnification obligations. By using the Site and the links accessible through the Site, you expressly agree to be bound by these Terms of Use and any other terms and conditions, policies, or notices posted throughout the Site. The information, materials, and resources contained on and accessible through the Site are made available to you by BZH and its suppliers and vendors, subject to your agreement to the terms and conditions listed herein. Please note that use of some areas of the Site, such as specific sections offering features and functionality for members, patients, providers, employer groups, agents, or brokers, may be subject to additional terms and conditions.

Any activity on the Site is subject to monitoring by BZH. By using the Site, you are consenting to such monitoring and agree that BZH may use the results of such monitoring for security, operational, fraud prevention, legal compliance, and as otherwise described in our Internet Privacy Policy, Notice of Privacy Practices, or other applicable privacy disclosures.

AGREEMENT
BY USING THE SITE, YOU SIGNIFY YOUR AGREEMENT TO THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT USE THE SITE.

It is a condition of your use of the Site that you do not restrict or inhibit any other user from using the Site.

II. SMS/MMS TERMS AND CONDITIONS
BZH may offer separate text message programs for members and patients, including billing and payment reminders, care management outreach, member-specific communications, Annual Health Assessment reminders, and, where separately authorized, marketing, or promotional messages. Each program operates independently and may have separate opt-in and opt-out workflows.

Joining
The SMS/MMS service sends text messages to the mobile number you provide.

By opting in to a specific program, you agree to receive text messages related to that program from BZH and its SMS/MMS service providers.

Messages will be sent to the mobile number you provided. For marketing or promotional text messages, your consent is not required as a condition of purchasing any product or service and may be withdrawn at any time. You agree to be bound by these terms and our Internet Privacy Policy.

Program terms for all BZH text message programs
By opting in to any of the text message programs above, each BZH mobile text subscriber:

      • Acknowledges that the subscriber is the authorized user of the mobile device and owner of the mobile phone number provided in the enrollment process, or that the subscriber has been authorized to act by and on behalf of that authorized user and owner;
      • Gives BZH and its agents express permission to send text messages to the mobile number until the subscriber tells BZH to stop. Marketing or promotional texts may include autodialed, prerecorded, or artificial-voice messages only where permitted by law and where the subscriber has provided any required prior express written consent;
      • Acknowledges that messages may be sent to the mobile number provided unless and until an opt-out request becomes effective;
      • May opt out of taking part in any of the text message programs at any time by responding with STOP. You will need to opt out of each program separately. Reply HELP to any text at any time for assistance;
      • Will not be charged a fee by BZH for taking part in any of the text message programs;
      • Acknowledges that message and data rates may apply, message frequency may vary, and the subscriber should check with the wireless carrier for details about message or data rates or charges that may apply;
      • Acknowledges that if the subscriber enrolls in a text messaging program, BZH will collect the subscriber’s mobile phone number to send text messages. BZH does not sell mobile subscriber data or share it with third parties for their own marketing purposes; BZH may share mobile subscriber data with its text message service providers, which are not permitted to use the data for their own purposes;
      • Understands that text messages may not be encrypted and may be viewable by anyone with access to your mobile device. Do not send emergency or urgent medical information by text; call 911 in an emergency.

If you change carriers or change or deactivate your mobile number, you are responsible for updating your communication preferences or opting out before making that change. BZH is not responsible for messages sent to a number that you failed to update or deactivate, except to the extent required by applicable law.

Marketing and promotional text messages are separate from the transactional and informational programs described above. Consent to receive marketing or promotional text messages, including any that are autodialed or use a prerecorded or artificial voice, is given through a separate opt-in, is not a condition of purchasing any product or service, and may be withdrawn at any time by replying STOP or through any other reasonable method required by applicable law.
BZH will honor opt-out and consent-revocation requests within a reasonable time and as required by applicable law.

You may revoke your consent to receive text messages from BZH at any time and by any reasonable method, including by replying STOP to any BZH text message. BZH will honor a revocation request as soon as reasonably practicable and within the timeframe required by applicable law. After you opt out, BZH may send you one additional text message confirming that your opt-out request has been received and processed. That confirmation message will not contain marketing or promotional content.

You may revoke your consent to receive text messages from BZH at any time and by any reasonable method, including by replying STOP to any BZH text message. BZH will honor a revocation request within a reasonable time, not to exceed 10 business days from receipt of the request, unless a shorter period is required by applicable law. After you opt out, BZH may send you one additional text message confirming that your opt-out request has been received and processed. That confirmation message will not contain marketing or promotional content.

How to cancel
If you have enrolled in more than one of the text message programs, you may need to opt out of each specific program to be unsubscribed from that particular program. This allows you to continue to receive texts from the other programs if you decide to cancel only one program. To cancel from any specific program and receive one confirmation text, you can:

      • Reply STOP to any text message you receive from that program;
      • Text STOP as instructed for the program you wish to cancel;
      • Where applicable, log in to your BZH online account and change your communication preferences; or
      • Call BZH Member Services at 833-LIV-BLUE (548-2583) (TTY 711) and tell the representative that you want to cancel the specific text program.

To cancel multiple programs and receive one confirmation text from each canceled program, follow the instructions in either of the final two options above.

You may also use any other reasonable words or method that clearly communicates that you no longer wish to receive text messages from BZH. Examples may include “cancel”, “end”, “quit”, “unsubscribe”, or similar words, although replying STOP is the recommended method for fastest processing.

How to get help with text notifications
Reply HELP to any text from BZH at any time. You will receive a response text and be directed to call Member Services at 833-LIV-BLUE (548-2583) (TTY 711). You may also directly call BZH’s Member Services at 833-LIV-BLUE (548-2583) (TTY 711).

SMS/MMS supported carriers
AT&T, T-Mobile, Verizon, and other participating carriers.

If your mobile operator is not supported, you will not receive a reply to your messages. Some operators may not support some services in the manner offered. Prepaid users may not be able to take part. Check with your mobile operator.

BZH collects certain information automatically upon subscription, to the extent permitted by applicable law and described in applicable privacy disclosures. Information collected may include the type of mobile device you use, unique device identifier, and mobile operating system.

III. ELECTRONIC COMMUNICATIONS AND ONLINE ACCOUNT USE
BZH may make certain communications, notices, disclosures, documents, and records available to you electronically, including through the Site, an online account, email, text message, or other electronic means, where permitted by law and consistent with your communication preferences and consents. These may include account notices, plan information, payment or billing notices, care management communications, benefit-related information, privacy notices, legal notices, and other communications related to BZH products or services.

Where a law requires that a communication be provided in writing, BZH will provide the communication electronically only with your consent or as otherwise permitted by law. By consenting to receive electronic communications, you agree that the electronic communication satisfies any legal requirement that the communication be provided in writing. Your consent may apply to the categories of communications identified at the time of consent or to other categories of communications for which you later provide consent.

You may withdraw your consent to receive electronic communications as permitted by law. To withdraw consent or update your contact information, contact Member Services at 833-LIV-BLUE (548-2583) (TTY 711). Withdrawal of consent may affect BZH’s ability to provide certain electronic services or communications to you, but it will not affect the legal effectiveness, validity, or enforceability of electronic communications provided before your withdrawal is processed.

You may request a paper copy of an electronic communication by contacting Member Services at 833-LIV-BLUE (548-2583) (TTY 711). BZH may provide paper copies at no charge or may charge a fee where permitted by law and disclosed to you before the charge is incurred.

To access and retain electronic communications, you must have a device with internet access, a current web browser or compatible application, an active email account or mobile number as applicable, software capable of viewing PDF or similar files, and the ability to download, print, or save electronic records. You are responsible for maintaining accurate contact information and for promptly notifying BZH of any changes to your email address, mailing address, mobile number, or other contact information.

If BZH provides online account access, you are responsible for maintaining the confidentiality of your username, password, verification codes, and other authentication credentials. You agree not to share your account credentials with any unauthorized person. You are responsible for activity that occurs through your account, except to the extent caused by BZH’s failure to use reasonable security measures or as otherwise provided by law. You agree to notify BZH promptly if you believe your account credentials have been lost, stolen, compromised, or used without authorization.

Certain features may allow a parent, guardian, caregiver, authorized representative, or other proxy to access information or act on behalf of a member or patient. Proxy or authorized-user access may be subject to additional verification, legal documentation, consent requirements, account controls, and limitations. BZH may suspend, limit, or terminate proxy or authorized-user access where required or permitted by law, where authorization cannot be verified, or where BZH reasonably believes continued access may compromise privacy, security, or member safety.

IV. GENERAL INFORMATION
BZH is licensed to use the Blue Zones name and marks to provide health care services in the state of California. The product and service descriptions, if any, provided on the Site are not intended to constitute offers to sell or solicitations in connection with any product or service. Some products may not be available in all areas of California and are subject to applicable regulations. Covered services and benefits described on the Site are provided under the terms and conditions of the applicable BZH plan contract, including limitations and exclusions.

Provider Directory, Network, and Plan Information. Any provider directory, pharmacy directory, formulary, network, availability, plan, premium, benefit, cost-sharing, service area, or coverage information made available through the Site is provided for general informational purposes and may change. BZH attempts to keep such information accurate and current, but provider participation, provider availability, network status, locations, accepting-new-patient status, hours, benefits, cost-sharing, and coverage rules may change without notice.

The availability of information on the Site does not guarantee that a particular provider, pharmacy, facility, drug, service, item, or benefit is covered, available, medically necessary, authorized, or payable under any BZH plan. Coverage, payment, and member cost-sharing are determined by the applicable plan contract, Evidence of Coverage, policy, benefit document, formulary, provider agreement, applicable law, and any required authorization, referral, medical necessity, or utilization management requirements. In the event of a conflict between information on the Site and the applicable plan documents, the applicable plan documents will control, except where prohibited by law.

Before receiving services, you should confirm provider participation, network status, coverage, authorization requirements, and cost-sharing with BZH and, where appropriate, with the provider, pharmacy, or facility. Nothing on the Site modifies any rights you may have under applicable law, including any grievance, appeal, coverage determination, organization determination, reconsideration, external review, or other administrative review rights.

BZH contracts with other payers to provide certain Medicare Advantage coverage. Copayments and cost-sharing may apply to some services. Coverage is subject to applicable plan documents and law and may change as permitted or required by those documents and law.

If you are interested in a particular BZH product, please contact Member Services at 833-LIV-BLUE (548-2583) (TTY 711) to determine whether the product or service is available in your area. Where applicable, you may request a copy of the applicable policy that contains a complete description of the products or services.

V. PRIVACY STATEMENT
All personal information that you provide through the Site is handled as described in BZH’s Internet Privacy Policy, which is incorporated into these Terms of Use by this reference. BZH’s use and disclosure of protected health information is also governed by its Notice of Privacy Practices, where applicable. These Terms of Use do not replace, limit, or modify BZH’s obligations under the Health Insurance Portability and Accountability Act of 1996, as amended, or other applicable federal or state privacy laws.

Please do not submit protected health information, sensitive health information, or other confidential information through public, non-secure, or interactive areas of the Site unless BZH specifically instructs you to do so through a secure feature. If you communicate with BZH through secure member, patient, or account tools, those communications may be subject to additional terms, privacy notices, and security procedures.

BZH may use cookies, pixels, analytics tools, log files, and similar technologies on the Site as described in its Internet Privacy Policy and applicable privacy disclosures. BZH will use such technologies in a manner intended to comply with applicable privacy and health information laws. Where required by law, BZH will obtain appropriate consent, provide required notices, and maintain required agreements with service providers or vendors.

VI. ACCESSIBILITY, NONDISCRIMINATION, AND LANGUAGE ASSISTANCE
BZH is committed to making its website, digital tools, and communications accessible to individuals with disabilities and to providing appropriate auxiliary aids, language assistance, and accommodations where required by law. If you have difficulty accessing any part of the Site, need information in an alternative format, need language assistance, or require another accommodation, please contact Member Services at 833-LIV-BLUE (548-2583) (TTY 711).
BZH does not discriminate on the basis of race, color, national origin, age, disability, sex, or any other characteristic protected by applicable law. Additional information may be available in BZH’s Notice of Non-Discrimination, Accessibility Notice, Notice of Language Assistance, or other applicable notices.

VII. MINORS
This Site is intended for use by individuals who are at least 13 years of age. Individuals under 13 may not use the Site or submit personal information through the Site unless BZH specifically makes a feature available for use by a parent, legal guardian, or other authorized representative on behalf of a minor, and the use is permitted by law.

Individuals under 18 may use the Site only with the involvement and consent of a parent, legal guardian, or other authorized representative, unless applicable law permits otherwise.

Parents, legal guardians, and authorized representatives are responsible for supervising a minor’s use of the Site and for ensuring that any information submitted on behalf of a minor is accurate and authorized. Certain features, accounts, communications, or health information involving minors may be subject to additional legal requirements, privacy protections, consent rules, and access limitations.

VIII. GENERAL PROHIBITIONS
You agree not to do any of the following while using the Site or content contained on the Site:

      • Post, publish, or transmit any text, graphics, or other material that: (i) is false or misleading; (ii) is defamatory; (iii) invades another’s privacy; (iv) is obscene, pornographic, or offensive; (v) promotes bigotry, racism, hatred, or harm against any individual or group; (vi) infringes another’s rights, including any intellectual property rights; (vii) violates or encourages others to violate any applicable law or regulation; or (viii) would give rise to civil liability;
      • Access, tamper with, or use any non-public areas of the Site, BZH’s computer systems, or the technical delivery systems of BZH’s providers;
      • Attempt to probe, scan, or test the vulnerability of any system or network or breach any security or authentication measures;
      • Attempt to access or search the Site or content with any engine, software, tool, agent, device, or mechanism other than software or search agents provided by BZH or other generally available third-party web browsers;
      • Send unsolicited email, junk mail, “spam”, promotional or advertising materials for products or services, or chain letters;
      • Forge any TCP/IP packet header or any part of the header information in any electronic communication or posting, or in any way use the Site or content to send altered, deceptive, or false source-identifying information;
      • Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Site or content;
      • Interfere with, or attempt to interfere with, the access of any user, host, or network, including without limitation sending a virus, overloading, flooding, spamming, or mail-bombing the Site;
      • Impersonate or misrepresent your affiliation with any person or entity; or
      • Use the Site or content in any way that violates any applicable law, statute, ordinance, or regulation (including but not limited to those pertaining to consumer protection, unfair competition, anti-discrimination, false advertising, or export control).

IX. INTERACTIVE FEATURES
BZH may offer BZH members or patients certain interactive features through the Site from time to time. Interactive features may include the opportunity to post or upload content, share information with other members or patients, and evaluate BZH products or services.

By using any of these interactive features, you represent and warrant that:

      • you are a current member or patient;
      • you are the sole author and owner of all intellectual property rights contained in content submitted to BZH; and
      • you are at least 18 years of age. 

With respect to any content you submit to the Site, you further represent, warrant, and agree that:  

      • unless a feature is expressly designated as a secure channel for protected health information, the content does not include protected health information, personal health information, or other sensitive information about you or another person;
      • the content is accurate, and does not contain any information you know to be false or misleading;
      • the content does not infringe any third party’s copyright, patent, trademark, trade secret, or other confidential or proprietary rights, nor rights of publicity or privacy;
      • you have not been compensated or received any consideration from any third party to submit the content;
      • the content has not been previously published or exploited in any manner or medium;
      • the content does not include any information that references other websites, addresses, email addresses, phone numbers, or other contact information;
      • nothing within any content submitted, nor use of that content, would violate these Terms of Use or any applicable laws;
      • the content does not contain any material that is sexually explicit or suggestive, contains full or partial nudity or any material that is violent or derogatory of any ethnic, racial, gender, religious, professional or age group or that is otherwise lewd, offensive, inappropriate or obscene;
      • the content will not contain or promote the products or services of any company or entity or promote any brand or product of any kind other than BZH; and
      • the content will not contain any material that is derogatory, profane, defamatory, libelous, slanderous, or disparaging.

For any content that you submit, you hereby grant to BZH a worldwide, royalty-free, transferable right and license to use, copy, display, distribute, modify, and create derivative works based upon such content solely to operate, provide, improve, and promote the Site and BZH products or services, subject to applicable law and BZH’s privacy disclosures. You further voluntarily waive any “moral rights” you may have in such content to the extent permitted by applicable law.

All content that you submit may be used at BZH’s sole discretion. BZH reserves the right to change, condense, or delete any content on the Site that BZH deems, in its sole discretion, to violate content guidelines or any other provision of these Terms of Use. BZH does not guarantee that you will have any recourse through BZH or third parties to edit or delete any content you have submitted. BZH reserves the right to remove or to refuse to post any submission for any reason. You acknowledge that you, not BZH, are responsible for the contents of your submission. None of the content that you submit shall be subject to any obligation of confidentiality on the part of BZH, its agents, subsidiaries, affiliates, partners or third-party service providers and their respective directors, officers, and employees.

Should you provide your email address in connection with your submitted content, you agree that BZH and its third-party service providers may use your email address to contact you about the content and for other administrative purposes.

X. SERVICE MARKS/TRADEMARKS/COPYRIGHTS
“Blue Zones” is a registered mark and service mark of Blue Zones, LLC. All materials on this server and this Internet site, including the Site’s design, layout, and organization, are owned and copyrighted by Blue Zones, BZH, or its suppliers or vendors, and are protected by copyright law.

It is BZH’s policy to respond to notices of alleged infringement that comply with the Digital Millennium Copyright Act and other applicable intellectual property laws, which may include removing or disabling access to material claimed to be the subject of infringing activity. Pursuant to 17 United States Code Section 512(c)(2) (Digital Millennium Copyright Act of 1998), BZH’s designated agent for notice of alleged copyright infringement appearing on the Site is:

XIV. LIMITATION OF LIABILITY

You agree to indemnify, defend, and hold harmless BZH and its suppliers and vendors against any liability, loss, claim, and expense (including reasonable attorneys’ fees) arising from (a) any content you submit to the Site, (b) your misuse of the Site, or (c) your violation of these Terms of Use or any applicable law, except to the extent prohibited by applicable law.

XVI. CHANGES TO THE SITE
Information on the Site may be changed or updated without notice. BZH and its vendors and suppliers have no obligation to update information presented on the Site, so information contained herein may be out of date at any given time. BZH may also make improvements or changes in the products or programs described in this information at any time without notice.

BZH and its suppliers and vendors may change or modify the information, services, products, materials, and any other resources contained on or accessible through the Site, or discontinue the Site altogether, at any time without notice.

BZH may modify the Terms of Use at any time, and such modifications shall be effective when posted unless a later effective date is stated. Where required by law, BZH will provide additional notice of material changes. Accordingly, you agree to review the terms and conditions periodically, and your continued use of the Site after the effective date of modified terms and conditions shall be deemed your acceptance of the modified terms and conditions.

XVII. CHOICE OF LAW
THESE TERMS AND CONDITIONS ARE GOVERNED BY CALIFORNIA LAW WITHOUT REGARD TO ITS PRINCIPLES OF CONFLICTS OF LAW. IF ANY VERSION OF THE UNIFORM COMPUTER INFORMATION TRANSACTIONS ACT (UCITA) IS ENACTED AS PART OF THE LAW OF CALIFORNIA, THAT STATUTE SHALL NOT GOVERN ANY ASPECT OF THESE TERMS AND CONDITIONS. Except for disputes subject to arbitration under Section XVIII, any legal action or proceeding between you and BZH, its suppliers, or its vendors related to these Terms of Use or the Site shall be brought exclusively in a state or federal court of competent jurisdiction sitting in the County of Los Angeles, California, or the Central District of California.

XVIII. ARBITRATION; CLASS ACTION AND JURY TRIAL WAIVER
Please read this section carefully. It affects legal rights. Except as stated below, you and BZH agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use, the Site, or your use of the Site will be resolved by binding arbitration on an individual basis, rather than in court. This arbitration agreement is intended to be interpreted broadly, but it applies only to disputes arising from your access to or use of the Site and these Terms of Use. It does not apply to disputes concerning plan coverage, claims for benefits, the delivery of health care services, or medical malpractice unless addressed in a separate agreement that satisfies applicable law, and it does not apply to claims or proceedings that cannot be required to be arbitrated under applicable law.

This arbitration agreement does not limit or replace any grievance, appeal, coverage determination, organization determination, reconsideration, external review, independent medical review, administrative hearing, regulatory complaint, Medicare, Medicaid, Department of Managed Health Care, Department of Insurance, CMS, HHS, or other statutory or regulatory right or process that may apply to you. This arbitration agreement also does not prevent either party from seeking relief in small claims court, seeking temporary or preliminary injunctive relief in court, reporting concerns to government agencies, or participating in government investigations or proceedings.

You and BZH agree that arbitration will be conducted only on an individual basis. You and BZH waive the right to bring or participate in any class action, collective action, private attorney general action, representative action, or consolidated proceeding to the fullest extent permitted by law. If this class action waiver is found unenforceable as to a particular claim or request for relief, then that claim or request for relief may proceed in court only to the extent required by law, and the remaining claims will be arbitrated.

The arbitration will be administered by the American Arbitration Association, JAMS, or another neutral arbitration provider mutually agreed upon by the parties, unless applicable law requires a different provider. The arbitration will be conducted under the provider’s applicable consumer arbitration rules, as modified by these Terms of Use. The arbitrator will have authority to award any relief that would be available in court on an individual basis, subject to the limitations and exclusions in these Terms of Use and applicable law.

To begin arbitration, the party seeking arbitration must provide written notice describing the dispute and the relief requested. Before filing arbitration, the parties agree to make a good-faith effort to resolve the dispute informally for at least 30 days after written notice is received, unless immediate relief is necessary or applicable law requires otherwise.

By agreeing to arbitration, you and BZH are each waiving the right to a trial by jury and the right to have covered disputes decided by a judge or jury in court, except as otherwise provided by law. If any dispute involves a claim that must be disclosed using specific health care arbitration language or formatting under applicable law, including any claim involving medical malpractice or delivery of health care services, this arbitration section will apply only to the extent it satisfies those requirements or is included in a separate agreement that satisfies those requirements.

This arbitration section will survive termination of these Terms of Use and your use of the Site.

XIX. MISCELLANEOUS
BZH’s failure to insist upon strict enforcement of any provision(s) of these terms and conditions shall not be construed as a waiver of any provision or right.

If any provision of these Terms of Use is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

These Terms of Use constitute the entire agreement between you and BZH regarding your use of the Site and supersede any prior agreements on that subject. BZH may assign these Terms of Use, in whole or in part, at any time without notice to you; you may not assign or transfer these Terms of Use without BZH’s prior written consent.
